Welcome to lendinglabs.io (the “Website”), operated by Lendingops Labs Private Limited (“Lending Labs,” the “Company,” “we,” “us,” or “our”). By accessing or using this Website, our platform Ontoz, any associated services, documentation, or software (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, please do not use our Website or Services.

These Terms constitute a legally binding agreement between you (the “User,” “you,” or “your”) and Lending Labs. Your use of the Services signifies your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Lending Labs provides an AI-ready development platform for lending and financial services (Ontoz), along with pre-built solutions and the capability to co-create custom lending applications. Our Services include:

• Platform Access: Access to our Ontoz platform, including the Domain-Specific Language (DSL), Process Modeller, Integration Hub, and related components
• Pre-Built Solutions: Ready-to-deploy products including loan origination systems, securitization platforms, and other lending solutions
• Documentation and Resources: Technical documentation, API references, guides, and educational materials
• Support Services: Technical support, implementation assistance, and professional services as agreed
• Partner Ecosystem: Integration with third-party services and partners

Commercial use of our Services requires a separate Commercial License Agreement or Master Service Agreement with Lending Labs.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Use strong passwords and enable multi-factor authentication where available
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with any third party
• Take reasonable steps to prevent unauthorized access to your account

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that we deem harmful to our Services, other users, or our business interests.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms, including compliance with all applicable laws, regulations, and industry standards.

5.2 Prohibited Activities

You agree not to:

6. Intellectual Property Rights

6.1 Ownership

All content, features, and functionality of the Services — including text, graphics, logos, software, code, and the Domain-Specific Language (DSL) — are the exclusive property of Lending Labs or its licensors and are protected by international intellectual property laws.

6.2 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to resell, modify, adapt, or create derivative works.

6.3 Trademarks

“Lending Labs,” “Ontoz,” and all related logos and product names are trademarks of Lendingops Labs Private Limited. You may not use these trademarks without our prior written permission.

6.4 User Content

If you submit any content, feedback, or suggestions, you grant us a worldwide, royalty-free, perpetual, irrevocable right to use, reproduce, modify, distribute, and display such content in any form or media.

7. Third-Party Services and Integrations

The Services may integrate with or provide access to third-party services, APIs, and platforms. Your use of such third-party services is subject to their respective terms and conditions. Lending Labs is not responsible for the availability, accuracy, or content of third-party services.

We may provide pre-built integrations with credit bureaus, payment gateways, KYC systems, and other financial service providers. You are responsible for complying with each third-party provider's terms.

8. Data and Privacy

8.1 Data Processing

Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using the Services, you consent to such processing and represent that all data you provide is accurate and lawful.

8.2 Data Security

We implement industry-standard security measures including:

• Encryption at rest and in transit
• Multi-factor authentication
• Role and task-based access control
• Automatic audit trail generation
• Database-level validations

8.3 Data Retention

We will retain your data for as long as your account is active or as needed to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements.

8.4 Data Location

Data may be stored and processed in various locations globally. By using the Services, you consent to the transfer of your information to countries outside your country of residence.

9. Service Level and Availability

While we strive to maintain high availability and performance, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We may perform scheduled or emergency maintenance with reasonable advance notice where possible. Specific service level commitments may be outlined in separate SLAs for commercial customers.

10. Payment and Fees

Certain features may require payment of fees. All fees are non-refundable unless otherwise specified in writing. For commercial customers, all payment terms and licensing arrangements will be governed by your separate Commercial License Agreement.

We reserve the right to modify pricing at any time. Price changes will not affect your existing subscription until renewal. You are responsible for all taxes associated with your purchase and use of the Services, excluding taxes based on our net income.

11. Confidentiality

Each party agrees to maintain the confidentiality of any confidential information received from the other party and to use such information only for the purposes of fulfilling obligations under these Terms.

Confidential information does not include information that is publicly available, rightfully received from a third party without confidentiality obligations, independently developed, or required to be disclosed by law.

12. Disclaimers and Warranties

The Services are for informational purposes only and do not constitute financial, legal, or regulatory advice. You should consult with appropriate professionals before making any decisions based on information obtained through the Services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF LENDING LABS FOR ANY CLAIMS UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless Lending Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use or misuse of the Services, your violation of these Terms, your violation of any rights of a third party, or any content or data you submit through the Services.

15. Compliance and Regulatory Matters

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction, including financial services regulations, data protection and privacy laws, AML and KYC requirements, securities regulations, and consumer protection laws.

The Services may be subject to export control laws. You agree not to export, re-export, or transfer the Services to any prohibited country, entity, or person. We reserve the right to audit your use of the Services to ensure compliance with these Terms.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Website and updating the “Last Updated” date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

17. Termination

17.1 Termination by You

You may terminate your account and discontinue use of the Services at any time by providing written notice to us. Upon termination, your right to use the Services will immediately cease.

17.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for any reason including breach of these Terms, non-payment of fees, fraudulent or illegal activities, or actions that may harm our business or other users.

17.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease, you must cease all use of the Services, and we may delete your account data in accordance with our data retention policies.

18. Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

18.2 Dispute Resolution Process

Before filing any formal action, you agree to first contact us at info@lendinglabs.io to attempt to resolve any dispute informally within thirty (30) days.

18.3 Arbitration

If we cannot resolve the dispute informally, any dispute shall be resolved by binding arbitration conducted in Bengaluru, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitrator's decision shall be final and binding.

18.4 Class Action Waiver

YOU AND LENDING LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.

18.5 Jurisdiction

For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

19. General Provisions

• 19.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lending Labs regarding the Services.
• 19.2 Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• 19.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
• 19.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• 19.5 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, pandemic, or government actions.
• 19.6 Notices: All notices shall be in writing and deemed given when delivered personally, sent by confirmed email, or received by registered mail.
• 19.7 Relationship of Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Lending Labs.
• 19.8 Third-Party Beneficiaries: These Terms do not confer any third-party beneficiary rights.
• 19.9 Language: These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
